Terms of Service

1. Scope of Services

Coralix Studio provides high-end digital engineering services including custom ERP/CRM software development, corporate web design, high-converting landing pages, e-commerce architectures, and technical SEO consulting.

2. Proposals and Scope of Work (SOW)

All formal quotes and technical proposals issued by Coralix Studio remain valid for fifteen (15) calendar days from issuance unless otherwise agreed in writing. Each project scope, roadmap, milestone deliverables, and fee structure are formalized in an individual statement of work (SOW) approved by both parties.

3. Intellectual Property and Rights Assignment

• Full Ownership Transfer: Upon 100% full payment of all agreed development fees, the client receives full ownership and exclusive commercial licensing rights to the final deliverables, source code, and assets created specifically for the project.
• Portfolio Showcase Rights: Coralix Studio retains the non-exclusive right to display screenshots, case studies, and live links of the completed project in its marketing portfolio, unless a formal Non-Disclosure Agreement (NDA) has been executed prior to project initiation.

4. Client Warranties on Supplied Materials

The client warrants that all text, logos, trademarks, photographs, graphic assets, and databases supplied to Coralix Studio for integration into the deliverables are lawfully owned or properly licensed. The client agrees to indemnify and hold Coralix Studio harmless from any third-party copyright or trademark infringement claims arising from client-supplied materials.

5. Payment Terms & Milestone Delivery

Projects typically follow a phased milestone model with an upfront deposit to initiate development and milestone-based releases. Final production credentials, domain pointing, and repository transfer are released upon confirmation of final balance settlement.

6. Post-Launch Warranty & Support

Coralix Studio provides a complimentary 30-day post-launch technical warranty to resolve any bugs, functional discrepancies, or anomalies directly attributable to the original codebase. This warranty excludes modifications made directly by third-party developers or unauthorized server modifications.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Coralix Studio shall not be liable for indirect, incidental, or consequential damages resulting from third-party hosting outages, upstream API failures, unauthorized client server breaches, or force majeure events.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable commercial laws. Any dispute arising under this agreement shall first be subject to good-faith direct negotiation between the authorized representatives of each party.
